SBA AMBASSADOR PROGRAM AGREEMENT

INTRODUCTION
Thank you for considering the SBA Ambassador Program. Our ambassadors are very important to us. This agreement is designed with you in mind, as well as protecting you, Sacred Breath Academy and our customers. Please read thoroughly. SBA AMBASSADOR AGREEMENT
This agreement describes the terms and conditions for participation in the SBA Ambassador Program. In this agreement, the term "SBA Ambassador" refers to you (the applicant). In this agreement, “SBA” refers to Sacred Breath Academy, a Texas Corporation, with whom you are entering this agreement. Please note that throughout this Agreement, "we," "us," and "our" refer to Sacred Breath Academy, and "you," "your," and "yours" refer to the SBA Ambassador.
Ambassador Program ApplicaTION
In order to earn Commission on an eligible SBA Product, the SBA Ambassador must fill out an Online Application here.
BY SUBMITTING THE ONLINE APPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.
To begin the enrollment process, SBA Ambassador will complete and submit the online application. Although we auto-approve applications, we may re-evaluate your application at a later time. We may reject your application at our sole discretion. We may cancel your application if we determine that you are not a suitable Ambassador for our Program, including if you:
1. Promote sexually explicit materials
2. Promote violence
3. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
4. Promote illegal activities
5. Incorporate any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
6. Include "Sacred Breath Academy" or variations or misspellings thereof in your domain name or social media handles
7. Are in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.
8. Use software downloads that potentially enable diversions of commission from other Ambassadors in our program.
9. Create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are Sacred Breath Academy or any other affiliated business.
Commissions
For a sale to generate Commission to an SBA Ambassador, the customer must complete the order form and remit full payment for the product. Commissions will only be earned on sales that are made when the customer clicks through qualified, correctly structured Share Links. Properly coded Share Links are the sole responsibility of the SBA Ambassador. Commission earnings can be viewed on the SBA Ambassador Portal.
When a user clicks on a Share Link a cookie is placed in their browser for 30 days. This cookie will track the user's habits on Sacred Breath Academy’s website and will attribute any profit generated from that user to the appropriate SBA Ambassador. The user has 30 days to make a purchase after clicking an Ambassador Share Link before the referral is no longer credited.
Commission is earned on the Base Price of a product, less any applicable coupons, sales or discounts. The Base Price of each eligible Product will be listed in the SBA Ambassador Program Welcome Email.
In order to earn Commission, all Terms and Conditions of the Product as outlined below and in the SBA Ambassador Program Welcome Email must be fulfilled.
If a Program Application is required, the Application must be approved by Sacred Breath Academy. The SBA Ambassador Name must be noted on the Application in the referral section in order to qualify for Commission.
If a Payment Plan is selected, the Payment Plan must be paid in full and complete, before Commission is awarded. Payment Plan must remain in good standing. No commission will be awarded for students who have Failed, Missed or Cancelled Payments.
For Breathwork Certifications, Commission is only awarded for the Immersion + Digital Course. Commission is not awarded for the cost of the Intensive.
For Sliding Scale Pricing, Commission is offered for any payment equal to or greater than the Standard Rate Pricing Option. If a payment is greater than the Standard Rate Pricing Option, SBA Ambassador will only earn commission on the Base Price (Standard Rate Pricing) Amount.
Payment
Ambassador Payments will not be automatically processed. A SBA Ambassador can request a payment when their balance reaches a minimum balance of $150 USD. Payments can be requested every 30 days. Payment processing can take up to 30 days from the request date. Ambassador Payments will be paid out via PayPal or Wise. Any and all sending or currency conversion fees will be deducted from the Ambassador’s Payment.
Refunds
In the event a customer requests a refund for a transaction for which the SBA Ambassador has earned commissions, any commissions earned on the refund amount will be deducted from the SBA Ambassadors’s balance.
Usage and Obligations
SBA Ambassadors are permitted to use the Sacred Breath Academy brand and marketing resources available in the SBA Ambassador Shared Google Folder, linked in the SBA Ambassador Program Welcome Email. Logos and other assets cannot be modified. The SBA Ambassador does not gain any trademark, copyright or any other rights to these materials.
The SBA Ambassador will never imply that they are acting on behalf of Sacred Breath Academy and will never advertise Sacred Breath Academy products directly. The SBA Ambassador will never bid for advertisements that compete with Sacred Breath Academy.
The SBA Ambassador will never represent themselves, Sacred Breath Academy or their relationship with Sacred Breath Academy in a false or misleading way.
The SBA Ambassador will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Sacred Breath Academy.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the SBA Ambassador terminates the agreement, no further commissions from Sacred Breath Academy will be paid for any past or future customer transactions.
If Sacred Breath Academy chooses to terminate the agreement, any balance greater than $150 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than $150 will be forfeited.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Texas, without regard to its conflict of laws rules.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Texas. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and SBA Ambassador Program rules.
